SERODIN Terms of Use

These Terms of Use govern access to and use of SERODIN, the privacy-first document anonymisation service provided by LEDUSTRA LTD.

  1. 1.About these Terms

    These Terms of Use (“Terms”) govern access to and use of SERODIN.

    SERODIN is provided by:

    • LEDUSTRA LTD

    LEDUSTRA LTD forms part of Legistra® Group Limited.

    By creating a SERODIN account, purchasing a subscription or using SERODIN, you agree to these Terms.

    If you use SERODIN on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

  2. 2.SERODIN

    SERODIN is a privacy-first software service designed to help organisations protect information before using documents with external AI tools.

    Its principal functionality is document anonymisation.

    SERODIN may also provide functionality including:

    • AI Policy creation;
    • AI Use Policy creation;
    • Safe AI Training;
    • Active SERODIN Member status;
    • Active SERODIN Member badge; and
    • public membership verification.

    Available features depend on the applicable SERODIN plan.

  3. 3.Business and professional use

    SERODIN is primarily intended for organisations, businesses, professionals and persons acting in the course of business.

    A person registering an account on behalf of an organisation confirms that they are authorised to create and administer that account.

    The organisation is responsible for the use of SERODIN by persons accessing the service through its account.

  4. 4.Account registration

    Users must provide accurate information when creating or maintaining a SERODIN account.

    Users are responsible for:

    • keeping login credentials confidential;
    • maintaining appropriate security over their account;
    • preventing unauthorised access;
    • ensuring that account information remains reasonably accurate; and
    • notifying SERODIN if they become aware of unauthorised access to their account.

    An account must not be shared in a way that exceeds the number of users permitted under the applicable plan.

  5. 5.Document anonymisation

    SERODIN allows a Customer to submit supported documents for anonymisation.

    Depending on the document format, SERODIN may:

    • read or extract document content;
    • perform OCR where required;
    • detect identifying information;
    • replace detected information with [SERODIN];
    • generate a protected version of the document; and
    • make the protected document available to the Customer.

    SERODIN processes documents for anonymisation before the Customer chooses whether to use the protected document with an external AI system.

    SERODIN does not submit the Customer's document to ChatGPT, Claude, Copilot or another generative AI service as part of the SERODIN anonymisation process.

  6. 6.Temporary document processing

    Documents submitted for anonymisation are processed through the SERODIN technical infrastructure.

    The source document may be stored temporarily for the duration of the anonymisation process.

    Temporary working files may also be created where technically necessary.

    Following processing, the original source document and temporary working files are removed in accordance with the SERODIN processing workflow.

    The protected output file is available temporarily to allow the User to download it.

    Under the current configuration, temporary working files and downloadable output files are automatically cleaned up when older than one hour.

    Where Customer documents contain personal data and LEDUSTRA LTD acts as Processor on behalf of the Customer, the applicable processing terms are set out in the SERODIN Data Processing Agreement.

  7. 7.User review of protected documents

    SERODIN is designed to detect and protect specified identifying information, but no automated detection system can guarantee that every item will be identified correctly in every document.

    Users must review the protected document before:

    • uploading it to an external AI tool;
    • sharing it with another person;
    • relying on it for professional work; or
    • otherwise using it outside SERODIN.

    The User remains responsible for deciding whether a protected document is suitable for its intended use.

  8. 8.AI Policy Creator and AI Use Policy Creator

    Certain paid plans may include tools allowing organisations to create an AI Policy and AI Use Policy.

    These tools are intended to support the organisation in establishing practical internal rules for responsible AI use.

    Documents produced through these tools are based on information supplied by the User.

    The organisation remains responsible for:

    • reviewing the document;
    • approving it;
    • adapting it where required;
    • implementing it within the organisation; and
    • keeping it under review.

    SERODIN does not represent that the use of a generated policy automatically establishes legal or regulatory compliance.

  9. 9.Safe AI Training

    SERODIN provides Safe AI Training intended to help users understand privacy-first and responsible use of AI.

    Training materials are educational and do not constitute legal advice, regulatory approval, professional accreditation or certification.

    Organisations remain responsible for determining their own training requirements and maintaining their own appropriate training records.

  10. 10.Active SERODIN Member status

    Qualifying paid customers may receive Active SERODIN Member status.

    Active Member status exists only while the organisation maintains a qualifying active paid subscription.

    When the qualifying subscription ends, Active SERODIN Member status also ends.

  11. 11.Active SERODIN Member badge

    An Active SERODIN Member may be permitted to display the SERODIN Member badge while its qualifying membership remains active.

    The badge may be linked to SERODIN's public membership verification functionality.

    The badge and Active Member status are not:

    • regulatory approval;
    • professional accreditation;
    • certification;
    • endorsement by a regulator; or
    • a guarantee of compliance with any law, professional obligation or regulatory requirement.

    LEDUSTRA LTD may require the badge to be removed where membership is no longer active or where it is being used in a misleading or unauthorised manner.

  12. 12.Public membership verification

    SERODIN may provide a public verification page allowing third parties to check whether an organisation currently holds Active SERODIN Member status.

    Verification reflects the current membership status recorded by SERODIN.

    A verification result confirms membership status only.

    It does not certify an organisation's legal, regulatory or professional compliance.

  13. 13.Free plan

    SERODIN may provide a free level of access.

    The Free plan currently includes:

    • up to 5 documents free; and
    • Free Safe AI Training.

    Free access does not include all functionality available under paid plans.

    LEDUSTRA LTD may apply reasonable technical or usage restrictions to free access.

  14. 14.Paid subscription plans

    SERODIN currently offers paid monthly subscription plans as described on the Pricing page.

    The applicable plan determines matters such as:

    • permitted number of users;
    • document-processing allowance; and
    • available paid functionality.

    Pricing and plan information displayed at the time of purchase forms part of the subscription agreement.

  15. 15.Monthly subscription and renewal

    Paid SERODIN subscriptions are billed monthly.

    Unless cancelled, a paid subscription automatically renews for successive monthly billing periods.

    The applicable subscription price is charged through the payment method associated with the account.

    SERODIN does not require a long-term annual commitment unless one is expressly agreed separately.

  16. 16.Payments

    Payments are processed through Stripe.

    Stripe handles payment information required to process transactions and recurring subscription charges.

    LEDUSTRA LTD does not store full payment card details itself.

    The Customer is responsible for maintaining a valid payment method for a paid subscription.

  17. 17.Failed payments

    Where a subscription payment cannot be collected, LEDUSTRA LTD may:

    • request updated payment information;
    • retry the payment;
    • restrict access to paid functionality;
    • suspend the paid subscription; or
    • terminate the subscription if payment remains outstanding.
  18. 18.Upgrading a plan

    A Customer may upgrade its subscription where the relevant functionality is available.

    An upgrade may take effect immediately or from the date stated during the upgrade process.

    Any resulting price adjustment will be displayed before the upgrade is confirmed.

  19. 19.Downgrading a plan

    A Customer may downgrade its plan where permitted through its account.

    A downgrade will normally take effect from the next billing period unless otherwise stated during the downgrade process.

    The Customer is responsible for ensuring that its usage fits within the limits of the new plan.

  20. 20.Cancelling a subscription

    A Customer may cancel a paid subscription at any time through the cancellation functionality provided by SERODIN or by contacting SERODIN where appropriate.

    Unless otherwise stated at the time of cancellation:

    • cancellation stops future renewal;
    • the paid plan remains available until the end of the current paid billing period; and
    • amounts already paid for the current billing period are not refundable merely because the Customer stops using SERODIN before that period ends.

    This does not affect any statutory right that cannot lawfully be excluded.

  21. 21.Digital services and statutory cancellation rights

    SERODIN is principally supplied for business and professional use.

    Where a Customer is acting as a consumer and statutory cancellation rights apply, nothing in these Terms excludes or restricts those rights where they cannot lawfully be excluded.

    Where applicable law permits immediate supply of digital content or a digital service following the consumer's express request or consent, SERODIN may ask the consumer to expressly request or consent to supply beginning before the end of any statutory cancellation period and to acknowledge any resulting effect on the statutory right to cancel.

    Any loss or limitation of a statutory cancellation right applies only where the conditions required by applicable law have been satisfied.

  22. 22.Acceptable use

    Users must not:

    • use SERODIN unlawfully;
    • attempt to gain unauthorised access to systems, accounts or data;
    • interfere with the operation or security of SERODIN;
    • introduce malicious software;
    • circumvent technical usage limits;
    • resell or sublicense SERODIN without authorisation;
    • copy or reproduce SERODIN software except where permitted by law; or
    • use SERODIN in a way that infringes the rights of another person.
  23. 23.Customer responsibility for submitted documents

    The Customer is responsible for documents it chooses to submit to SERODIN.

    The Customer must ensure that it is entitled to process and submit those documents.

    SERODIN does not determine whether the Customer has the legal, contractual, professional or regulatory authority to process a particular document.

  24. 24.External AI services

    After downloading a protected document, the User may choose to use it with an external AI service.

    That decision is made by the User.

    LEDUSTRA LTD does not control external AI providers and is not responsible for:

    • their terms;
    • their privacy arrangements;
    • their security;
    • their retention policies;
    • their model-training practices;
    • their outputs; or
    • their availability.

    The User is responsible for deciding whether an external AI service is appropriate for the intended purpose.

  25. 25.Human review and AI output

    SERODIN does not remove the need for professional judgement or human review.

    Users remain responsible for checking:

    • protected documents;
    • information subsequently entered into AI;
    • AI-generated content; and
    • decisions made on the basis of AI-generated material.

    SERODIN does not guarantee the accuracy of output produced by third-party AI systems.

  26. 26.Intellectual property

    SERODIN and its software, design, branding, documentation, training content, policy tools, templates and associated materials are owned by LEDUSTRA LTD or used under appropriate licence.

    Subject to these Terms and payment of applicable subscription fees, the Customer receives a limited, non-exclusive, non-transferable right to use SERODIN for its own authorised business purposes.

    No ownership of SERODIN intellectual property is transferred to the Customer.

  27. 27.Customer content

    The Customer retains its rights in documents and other material that it submits to SERODIN.

    Submission of a document gives LEDUSTRA LTD only the limited right necessary to process that document for the purpose requested by the Customer.

  28. 28.Service availability

    LEDUSTRA LTD will use reasonable efforts to maintain the availability and security of SERODIN.

    SERODIN may occasionally be unavailable due to:

    • maintenance;
    • updates;
    • security work;
    • infrastructure failures;
    • third-party service failures; or
    • events outside LEDUSTRA LTD's reasonable control.

    Continuous, uninterrupted or error-free availability is not guaranteed.

  29. 29.Updates and changes to SERODIN

    LEDUSTRA LTD may update SERODIN from time to time to:

    • improve functionality;
    • maintain security;
    • correct errors;
    • respond to technical developments;
    • reflect legal or regulatory developments; or
    • change the way particular functions operate.

    Features may be added, modified or withdrawn where reasonably necessary.

  30. 30.No legal or regulatory advice

    SERODIN is a technology service.

    Information, training, policies, tools or other materials provided through SERODIN do not constitute legal, regulatory, tax, financial or other professional advice.

    Customers remain responsible for obtaining appropriate professional advice where required.

  31. 31.Disclaimers

    SERODIN is designed to support privacy-first use of documents and AI, but LEDUSTRA LTD does not warrant that:

    • every identifier will be detected;
    • every document can be processed successfully;
    • every protected output will be suitable for every purpose;
    • use of SERODIN alone will satisfy every legal, regulatory or professional requirement; or
    • third-party AI output will be correct.
  32. 32.Limitation of liability

    Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation or death or personal injury caused by negligence.

    Subject to that, LEDUSTRA LTD is not responsible for loss arising from:

    • a User failing to review a protected document;
    • a User submitting material it was not entitled to process;
    • use of an external AI service;
    • inaccurate or inappropriate AI-generated output;
    • failure by the Customer to comply with its own professional, contractual, legal or regulatory obligations;
    • misuse of SERODIN; or
    • events outside LEDUSTRA LTD's reasonable control.
  33. 33.Suspension

    LEDUSTRA LTD may suspend access to SERODIN where reasonably necessary because of:

    • non-payment;
    • suspected unauthorised access;
    • a security threat;
    • material breach of these Terms;
    • unlawful use; or
    • misuse affecting other users or the service.

    Where reasonably practicable, LEDUSTRA LTD will provide notice of suspension.

  34. 34.Termination

    LEDUSTRA LTD may terminate the agreement where the Customer commits a material breach that is incapable of remedy or is not remedied within a reasonable period after notice.

    The Customer may end its subscription through the cancellation process.

    Termination does not affect rights or liabilities that arose before termination.

  35. 35.Effect of termination

    When the relevant paid subscription ends:

    • access to paid features may end;
    • Active SERODIN Member status ends;
    • the Active Member badge must no longer be represented as active; and
    • public verification may show that membership is no longer active.

    Any provisions intended by their nature to continue after termination remain effective.

  36. 36.Changes to these Terms

    LEDUSTRA LTD may update these Terms where reasonably necessary because of changes to:

    • SERODIN;
    • applicable law;
    • regulatory requirements;
    • technology;
    • security; or
    • commercial arrangements.

    The current Terms will be published through the SERODIN website.

    Where a material change significantly affects an existing paid subscription, reasonable notice will be provided where appropriate.

  37. 37.Entire agreement

    These Terms, together with applicable plan information and the SERODIN Data Processing Agreement where relevant, form the agreement governing use of SERODIN.

    They supersede previous representations concerning the same subject matter, except where expressly incorporated into the agreement.

  38. 38.Severability

    If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions remain in effect.

  39. 39.No waiver

    A failure or delay by either party to exercise a contractual right does not waive that right.

  40. 40.Assignment

    The Customer may not assign or transfer its rights or obligations under these Terms without the prior written consent of LEDUSTRA LTD.

    LEDUSTRA LTD may transfer the agreement as part of a corporate reorganisation, business transfer or transfer of the SERODIN business, subject to applicable law.

  41. 41.Third-party rights

    Unless expressly stated otherwise, a person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.

  42. 42.Governing law and jurisdiction

    These Terms are governed by the laws of England and Wales.

    The courts of England and Wales have jurisdiction, subject to any mandatory legal rights that cannot lawfully be excluded.
